Updates
Oracle reserves the right to update this Agreement at any time and for any reason. If we do update this Agreement, we will, where possible, provide You with 30 days notice of the changes in writing. If You do not agree to the terms of the updated Agreement, You should discontinue use of the Service and You can cancel Your account with us without further obligation as further detailed in the “Services Period” section. Where possible, we will also provide You with reasonable notice of the changes in writing; Oracle updates to the Service or the Oracle NetSuite Written Materials will not materially reduce the level of performance, functionality, security, or availability of the Service during Your Services Period.
License Rights and Restrictions
Subject to the terms and conditions of this Agreement, You have the non-exclusive, worldwide, limited right to use the Service during the applicable Services Period and solely for Your internal business operations. Such right includes reasonable use of AI Functionality (as defined in Section II, “Artificial Intelligence Terms and Conditions”) included in the Service. Oracle may impose limitations on Your use of AI Functionality if Oracle reasonably determines that such use exceeds normal usage levels for similarly situated customers or Your use adversely impacts the performance, functionality, or security of the Service. You may allow Your Users to use the Service as permitted under this Section and You are responsible for Your Users’ compliance with this Agreement. The terms of this Agreement shall also apply to updates and upgrades subsequently provided by Oracle to You for the Service. You may not, and may not cause, aid, abet or permit others to: (a) use the Service to harass any person; cause damage or injury to any person or property; publish any material that is false, defamatory, harassing or obscene; violate privacy rights; promote bigotry, racism, hatred or harm; send unsolicited bulk e-mail, junk mail, spam or chain letters; infringe property rights; sell, manufacture, market and/or distribute any product or service in violation of applicable laws; or otherwise violate applicable laws, ordinances or regulations; (b) perform or disclose any benchmarking, availability or performance testing of the Service; or (c) perform or disclose any performance or vulnerability testing of the Service, perform or disclose network discovery, port and service identification, vulnerability scanning, password cracking, remote access or penetration testing of the Service (the “Acceptable Use Policy”). In addition to other rights that Oracle has in this Agreement, Oracle has the right to take remedial action if the Acceptable Use Policy is violated, and such remedial action may include, without limitation, removing or disabling access to material that violates the policy and/or terminating the Service.
You may not, and may not cause or permit others to: (a) modify, make derivative works of, disassemble, decompile, reverse engineer, reproduce, republish, download, or copy any part of the Service (including data structures or similar materials produced by programs); (b) access or use the Service to build or support, directly or indirectly, products or services competitive to Oracle; or (c) license, sell, transfer, assign, distribute, outsource, permit timesharing or service bureau use of, commercially exploit, or make available the Service to any third party except as permitted by this Agreement.
You represent that You and Your Users do not, and will not use the Service to, sell, manufacture, market, and/or distribute any product or service, or cause, aid, abet, or permit others to do any such activities, in violation of applicable laws. You shall indemnify Oracle from and against all claims, damages, liabilities, costs, and expenses incurred by Oracle resulting from Your or Your Users’ breach of this paragraph. Notwithstanding anything to the contrary in this Agreement, if Oracle believes that You or Your Users have breached the terms of this paragraph (breaches of which are hereby deemed to be material) then the following will apply: (a) Oracle may audit Your and Your Users’ use of the Service as often as reasonably required to determine if such use complies with this paragraph; (b) with respect to any breach of this paragraph, if no cure is possible, no cure period shall be applicable to such breach; and (c) at the end of the Services Period, Oracle will make Your Content (as it existed at the end of the Services Period) available for retrieval by You (as provided in section O of the “Hosting Policies” below), unless doing so violates applicable law. If Oracle reasonably determines that You or Your Users are using the Service in a manner that is reasonably likely to cause Oracle to incur liability to applicable governmental entities, then Oracle may terminate this Agreement by written notice to You.
You agree that: (i) Oracle is not acting on Your behalf as a Business Associate or subcontractor; (ii) the Service may not be used to store, maintain, process or transmit protected health information (“PHI”) and (iii) the Service will not be used in any manner that would require Oracle or the Service to be compliant with the Health Insurance Portability and Accountability Act of 1996, as amended and supplemented (“HIPAA”). In the preceding sentence, the terms “Business Associate,” “subcontractor,” “protected health information” or “PHI” shall have the meanings described in HIPAA.
User Credentials
Access to the Service is limited to authorized Users with individually assigned credentials. You shall not permit, and shall ensure that Your Users do not permit, the sharing, transfer, sublicensing, or use of User credentials by any person other than the individual to whom such credentials were assigned. Any use of the Service through a User’s credentials will be deemed to have been authorized by You. You are responsible for all activities conducted under Your Users’ accounts and must immediately notify Oracle of any unauthorized use or security breach.
Administrator Access; Disputes Policy & Procedure
Oracle recommends that You establish two (2) Administrators for Your account so that in the event one Administrator is unavailable (for any reason) You can still manage Your account appropriately.
If someone contacts us and requests that they be designated as the Administrator of an account that permits Administrators for any reason (including, but not limited to, the death or departure of the registered Administrator, a change in Your ownership, etc.), but such person has not been designated by the current Administrator as a replacement Administrator, we reserve the right to determine, in our sole discretion, and without notice to You, whether that person should be designated as the Administrator. All requests to change Your Administrator should be submitted to us through a support request in accordance with the process set forth in the “Support Services” section below).
Disputes sometimes arise between or among multiple persons concerning the right to be designated as the Administrator (including, but not limited to, in the event of a dispute between Your owners, etc.). In that instance, we reserve the right to determine, in our sole judgment, and without notice to You, whom should be designated as the Administrator. However, we may be unable, and are not obligated, to resolve any such disputes. If, in our sole discretion, we attempt, but conclude that we are unable, to determine whom should be designated as the Administrator, we reserve all rights, including, but not limited to, the right to suspend or terminate Your account and use of the Service, and/or require a court order to determine the rightful Administrator.
In determining access or whom should be Administrator, we may request and review documentation from the person making the request (including, but not limited to, government-issued photo identification, an affidavit, a signed permission letter from Your owner, documents showing the successorship of Your business or legal documents that tie the request to Your business, etc.). Each time that You request a change to Your Administrator, You (i) represent that You are authorized to make such change, (ii) acknowledge and accept the foregoing Administrator access and disputes policy and procedure and hereby release Oracle from all liability and all claims for damages, or any other liability whatsoever, that may arise out of or relate to Oracle following said policy and procedure. Furthermore, You agree to indemnify, defend and hold Oracle and its affiliates harmless from and against any and all claims and liabilities brought or asserted by You or any third party arising in any way out of any actions taken by Oracle in connection with this section.
Services Period
Your access to the Service will begin when the Service is provisioned. Your use of the Service will be subject to the usage limitations set forth in Oracle NetSuite QuickStart Service Description. Such usage limitations will reset on the first day of each Services Period. Any unused portion of the usage limitations will not carry over to the following Services Period. If You exceed one or more usage limitations we will notify You through your account administrator and Oracle may limit, reduce, suspend, or block access to the Service until the exceeded usage limitation resets or you reduce Your total usage of the Service.
The Service and this Agreement will automatically renew at the end of each Services Period unless You notify us of Your intent to cancel Your subscription prior to the end of Your Services Period, which You can do in the “Account Management” page of Your account. If You do not provide notice of intent to cancel as specified in the previous sentence, the Service will automatically renew for another Services Period. If You do cancel Your Service, You will be able to continue to use the Service until the end of the then current Services Period. Upon termination or non-renewal of the Service, Your Content will be deleted as specified in the Hosting Policies.
Suspension and Termination
We may suspend Your or Your Users’ access to, or use of, the Service if we believe that (a) there is a significant threat to the functionality, security, integrity, or availability of the Service or any content, data, or applications in the Service; (b) You or Your Users are accessing or using the Service to commit an illegal act or Oracle’s continued provision of the Services would violate any applicable law or regulation; or (c) there is a violation of the Acceptable Use Policy. When reasonably practicable and lawfully permitted, we will provide You with advance notice of any such suspension. We will use reasonable efforts to re-establish the Service promptly after we determine that the issue causing the suspension has been resolved. During any suspension period, We will make Your Content (as it existed on the suspension date) available to You.
You may terminate the Service at any time for any reason by providing notice of intent to cancel as specified in the “Services Period” section above.
Oracle may terminate this Agreement at any time for any reason. We will use commercially reasonable efforts to provide You with thirty (30) days notice prior to such termination and You may retrieve Your Content during that notice period. If we terminate this Agreement under this paragraph and provide less than thirty (30) days notice prior to such termination, You will have thirty (30) days from the date of the notice of termination to retrieve Your Content.
Oracle shall not be liable to You or any other third party for any suspension pursuant to this Section.
Provisions that survive termination or expiration of this Agreement are those which by their nature are intended to survive.
Blocking your access, disabling your subscription
As our sites are global, different laws and regulations may apply in different countries that restrict our relationship with You. We may block Your access or terminate Your subscription if we reasonably believe there is a risk, such as a potential breach of a law or regulation, associated with You, Your company or Your subscription. Examples of where we might do this include transactions where there is a suspected violation of the Trade Compliance Laws (as defined in the “Trade Compliance” section below); or where we reasonably believe there is a legal or regulatory risk or a risk of loss being suffered by us or our customers or partners. We may take any of these actions without notice.
Ownership
As between You and Oracle, You own all title and intellectual property rights in and to Your Content. You acknowledge and agree that in connection with the provision of the Service, we may store and maintain Your Content for a period of time consistent with our standard business processes for the Service. Following expiration or termination of the Service or this Agreement, we will deactivate Your account(s) and delete any data that is included in Your account(s) in accordance with the Hosting Policies.
You grant Oracle the right to host, use, process, display and transmit Your Content to provide the Service pursuant to and in accordance with this Agreement. You are solely responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of Your Content, and for obtaining all rights related to Your Content that we require to perform the Service.
All rights, title and interest in and to the Service (including without limitation all intellectual property rights therein and all modifications, extensions, customizations, scripts or other derivative works of the Service provided or developed by us) and anything developed or delivered by or on behalf of us under this Agreement are owned exclusively by us or our licensors. Except as provided in this Agreement, the rights granted to You do not convey any rights in the Service, express or implied, or ownership in the Service or any intellectual property rights thereto. You grant Oracle a royalty free, worldwide, perpetual, irrevocable, transferable right to use, modify, distribute and incorporate into the Service (without attribution of any kind) any suggestions, enhancement request, recommendations, proposals, correction or other feedback or information provided by You or any Users related to the operation or functionality of the Service. Any rights in the Service or our intellectual property not expressly granted herein by us are reserved by Oracle. Oracle and NetSuite service marks, logos and product and service names are marks of Oracle (the “Oracle Marks”). You agree not to display or use the Marks in any manner without Oracle’s express prior written permission. The trademarks, logos and service marks of Third Party Application providers (“Marks”) are the property of such third parties. You are not permitted to use these Marks without the prior written consent of such third party which may own the Mark.
Third Party Applications
The Service may enable You to link to, transfer Your Content to, or otherwise access, Third Party Applications. We do not control and are not responsible for Third Party Applications, regardless of whether or not such Third Party Applications are provided by a third party that is a member of an Oracle partner program or otherwise designated by Oracle as “Built For NetSuite,” “certified,” “approved” or “recommended. You agree that we may enable such Third Party Application providers to access Your Content for the interoperation of such Third Party Applications with the Service, and any exchange of data or other interaction between You and a third party provider is solely between You and such third party provider pursuant to a separate privacy policy or other terms governing Your access to or use of the Third Party Applications. You are solely responsible for complying with the terms of access and use of Third Party Applications, and if Oracle accesses or uses any Third Party Applications on Your behalf to facilitate performance of the Service, You are solely responsible for ensuring that such access and use, including through passwords, credentials or tokens issued or otherwise made available to You, is authorized by the terms of access and use for such services. If You transfer or cause the transfer of Your Content from the Service to a Third Party Application or other location, that transfer constitutes a distribution by You and not by Oracle.
Any Third Party Applications we make accessible are provided on an “as-is” and “as available” basis without any warranty of any kind. We disclaim all liabilities arising from or related to Third Party Applications. Oracle shall not be responsible for any disclosure, modification or deletion of Your Content resulting from any such access by Third Party Applications or third party providers. No procurement of such Third Party Applications is required to use the Service.
Oracle’s business partners and other third parties, including any third parties with which the Service has integrations or applications that interact with the Service, are independent of Oracle and are not Oracle’s agents. We make no representation or warranty about the suitability of any Oracle business partner or any third party in connection with the provision of integrations to our business partners’ Third Party Applications.
You acknowledge that: (a) the nature, type, quality and availability of Third Party Applications may change at any time during the Services Period, and (b) features of the Service that interoperate with Third Party Applications, may depend on the continuing availability of such Third Party Applications. Any change to Third Party Applications, including their unavailability, during the Services Period does not affect Your obligations under this Agreement and You will not be entitled to any compensation due to any such changes.
Support Services
These terms describe Oracle’s provision of Support Services to You pursuant to the terms of this Agreement.
Oracle has provided User Guides to assist You with Your use of the Service. The Service also provides contextual help and in-application help such as assistive text on fields and AI-enabled responses to Your questions.
Oracle shall address Incidents which may arise from Your use of the Service in accordance with our Incident Reporting and Response processes and policies as further detailed below. Oracle shall not have any obligation to provide Support Services with respect to any:
- adaptations, configurations or modifications of the Service made by the Customer or any third party, if applicable;
- Incident caused by non-conformance due to unauthorized misuse, alteration, modification or enhancement of the Service; or
- Incident caused by use of the Service that is not in compliance with this Agreement.
If You have an Incident to report or otherwise need assistance with the Service that is not answered in the User Guides or through the automated Artificial Intelligence (“AI”) agent (found on the “QuickStart Support” page at https://docs.oracle.com/en/cloud/saas/netsuite-quickstart/help/article_7113004613.html, You may submit a request to Oracle via the mechanism (e.g., email) provided on the Support Page. We will respond to these support requests via email, unless otherwise specified on the Support Page.
In order to assist You with Your Incident request, You must provide detailed information about Your incident as well as any other information as reasonably requested by Oracle. Oracle may share such information and other information about Incidents with its contractors, vendors and/or third party application providers to support Oracle’s provision of the Support Services described herein.
Additionally, our ability to provide Support Services is conditioned on You:
- having a current subscription to the Service;
- providing Oracle with all reasonable assistance and providing Oracle with data, information and materials as that are reasonably necessary;
- procuring, installing and maintaining all equipment, telephone lines, communication interfaces and other hardware and software necessary to access the Service;
- providing appropriate contact information; and
- utilizing User Guides for self-help research of known solutions.
Service Monitoring & Analyses
We continuously monitor the Service to facilitate Oracle’s operation of the Service; to help resolve Your Incident requests; to improve and optimize Your use of the Service; to detect and address threats to the functionality, security, integrity, and availability of the Service as well as any content, data, or applications in the Service; and to detect and address illegal acts or violations of the Acceptable Use Policy. Our monitoring tools do not collect or store any of Your Content residing in the Service, except as needed for such purposes. Oracle does not monitor, and does not address issues with, non-Oracle software provided by You or any of Your Users that is stored in, or run on or through, the Service. Information collected by our monitoring tools (excluding Your Content) may also be used to assist in managing Oracle’s product and service portfolio, to help us address deficiencies in our product and service offerings, and for license management purposes.
We may (i) compile statistical and other information related to the performance, operation and use of the Service, and (ii) use data from the Service in aggregated form for security and operations management, to create statistical analyses, and for research and development purposes (clauses (i) and (ii) are collectively referred to as “Service Analyses”). We retain all intellectual property rights in Service Analyses.
Oracle may access, use, store, process, and analyze Your Content, which may include Personal Data, for the R&D Purpose when the R&D Purpose is compatible with the original purpose of processing as determined by Oracle. If Oracle provides You with any insights from Oracle’s access, use, storage, processing, analysis and transfer of Your Content, such insights shall be limited to a presentation or discussions, or both. Oracle insights are Oracle Confidential Information, and the delivery format, content, and timeframe of providing such insights shall be determined solely by Oracle. You may not use any Oracle insights for any commercial or production purposes or outside the scope of this Agreement. Oracle may publish research results based on Your Content, provided that such results do not include or disclose Your Content to any third party. Oracle’s processing of Your Content for the R&D Purpose is subject to the R&D Privacy Policy. Oracle may update its R&D Privacy Policy and its location at its discretion.
Hosting and Security of the Services and Your Content (“Hosting Policies”)
When providing the Service, Oracle shall maintain commercially reasonable administrative Safeguards designed for the protection, confidentiality, and integrity of Your Content. All such Safeguards shall be commensurate with the importance of Your Content being protected, but in no event less protective than safeguards that Oracle uses to protect its own information or data of similar importance, or as required by applicable law. This does not apply to any Third Party Applications (as defined herein) or any services provided by or sold by Oracle which are subject to separate terms and conditions. The Safeguards described herein are applicable during the Services Period; however, Safeguards described herein are not comprehensive and such Safeguards may change during the Services Period as applicable third party security audits, compliance standards and/or certifications evolve/change over time, provided that any such changes to Safeguards will not materially decrease the overall security of the Service during the Services Period. During the Services Period, Oracle shall comply with all obligations set forth herein regarding Your Content, including, without limitation, Oracle’s obligations to maintain commercially reasonable Safeguards as provided herein.

You understand that the technical processing and transmission of Your Electronic Communications is fundamentally necessary to use the Service. You are responsible for securing DSL, cable or another high-speed Internet connection and up-to-date “browser” software in order to utilize the Service. You expressly consent to Oracle’s interception and storage of Electronic Communications and/or Your Content as needed to provide the Service, and You acknowledge and understand that Your Electronic Communications will involve transmission over the Internet, and over various networks, only part of which may be owned and/or operated by Oracle. You further acknowledge and understand that Electronic Communications may be accessed by unauthorized parties when communicated across the Internet, network communications facilities, telephone or other electronic means. Without limiting Oracle’s applicable obligations under these Hosting Policies or the Confidentiality section of the Agreement, Oracle is not responsible for any Electronic Communications and/or Your Content which are delayed, lost, altered, intercepted or stored during the transmission of any data whatsoever across networks not owned and/or operated by Oracle, including, but not limited to, the Internet and Your local network. Oracle will use strong cryptography and security protocols consistent with industry standards, as documented in the User Guides for the Service.
D. Security Incident Response.
Oracle will monitor a variety of communication channels for known incidents, and Oracle’s security team will react promptly to such known incidents. In the event of a Security Incident, Oracle will notify You in accordance with Oracle’s obligations under applicable law or regulatory requirement, to the extent an applicable security breach law applies to such Security Incident. Incidents involving Personal Information (as defined in the Oracle Data Processing Agreement) shall be managed according to the provisions set forth within the Oracle Data Processing Agreement.
E. Change Management.
Oracle maintains a change management policy to ensure changes to the organization, business processes, information processing facilities and systems that affect information security are controlled.
F. Server Operating Systems.
Oracle servers will use a hardened operating system implementation customized for the Service. Oracle will maintain a risk-based prioritized patch management policy.

You will also be responsible for all Electronic Communications, including those containing business information, account registration, account holder information, financial information, Your Content, and all other data of any kind contained within emails or otherwise entered electronically through the Service or under Your account. Oracle will act as though any Electronic Communications it receives under Your passwords, user name, and/or account number will have been sent by You. You shall use commercially reasonable efforts to prevent unauthorized access to or use of the Service and shall promptly notify Oracle of any unauthorized access or use of the Service and any loss or theft or unauthorized use of any User’s password or name and/or Service account number(s).
I. Oracle Responsibilities and Policy Controls.
Oracle will implement measures to ensure Your Content is processed only in accordance with the terms and conditions of this Agreement.
J. Password Configuration.
You will be responsible for establishing Your own password and authentication policies through the configurable policy settings available in the Service.
K. Network Connectivity Security Requirements.
Oracle will protect its infrastructure with multiple levels of secure network devices. All remote access to the Service environment by Oracle personnel that have access to Your Content must be through one or a combination of the following: virtual private network, multi-factor authentication, mutual authentication, client trust scoring, or other authentication methods with an equal or higher level of security

You are responsible for complying with Your specific regulatory, legal or data security obligations which may apply to such data.
The Data Processing Agreement does not apply to (1) any demonstration accounts, trials, beta releases, or other similar versions of the Service; (2) any features, services or products which are provided pursuant to a separate agreement or by a party other than Oracle, or (3) the processing of Personal Data for the R&D Purpose.

Oracle and its affiliates may perform certain aspects of the Service (e.g., administration, maintenance, support, disaster recovery, data processing, etc.) from locations and through subcontractors, worldwide. You and Oracle agree that incorporation of the Clauses into this Agreement acts as a legally-binding execution of the Clauses as entered into between Oracle (acting in its own name and in the name and on behalf of the Oracle affiliates) and You (acting in Your own name and in the name and on behalf of Your affiliates).
